Please read these Terms of Service ("Terms") carefully before using Circulate (circulate.fm) operated by Circulate AI, Inc. ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using any part of the Service, you confirm that you are at least 13 years of age, have the legal capacity to enter into a binding agreement, and agree to these Terms and our Privacy Policy.

2. Description of Service

Circulate provides AI-powered music mastering, music distribution, stem splitting, cover art creation, and related tools for independent artists and music labels. Features and availability may change at any time.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access. We reserve the right to suspend accounts that violate these Terms.

4. Content Ownership & Licenses

You retain full ownership of all music, artwork, and metadata you upload to the Service ("Your Content"). By uploading, you grant Circulate a limited, non-exclusive, worldwide, royalty-free license to process, store, and distribute Your Content solely as required to provide the Service — including delivering your releases to digital stores and processing audio through our mastering pipeline.

You represent and warrant that you own or have the necessary rights to all content you upload, and that it does not infringe any third-party intellectual property, privacy, or contractual rights.

5. Prohibited Uses

You agree not to:

• Upload content you do not own or have rights to distribute
• Use the Service to distribute content that is defamatory, obscene, or violates any law
• Attempt to reverse-engineer, scrape, or exploit the Service
• Use automated means to access the Service without our written consent
• Engage in any activity that interferes with or disrupts the Service

6. Payments & Subscriptions

Paid plans are billed annually unless otherwise stated. All payments are processed securely via Stripe. Subscriptions automatically renew unless cancelled before the renewal date. We do not offer refunds for partial billing periods, except where required by law.

We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

7. Royalties & Payouts

You keep 100% of your royalties from distribution. Circulate earns revenue through subscription fees, not royalty cuts. Payouts from streaming stores are subject to the stores' own payment schedules and minimum thresholds.

8. Termination

You may cancel your account at any time through your dashboard. We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow export before permanent deletion.

9. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by law, Circulate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the federal or state courts located in San Francisco County, California.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use after changes are posted constitutes acceptance of the revised Terms.
